This End User License Agreement ("Agreement") is a legal agreement between you ("You," "User," or "Licensee") and Rhetoric Technologies, LLC ("Company," "We," or "Us") for the use of AiMygdala threat detection software and associated services ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement.
Subject to the terms of this Agreement and payment of applicable fees, We grant You a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely for the purpose of protecting AI agent deployments that You own or operate.

The Software is licensed on a subscription basis at the rate of $1.00 USD per month ($12.00 USD per year). The subscription fee constitutes the legal consideration that activates this Agreement. Your subscription includes: the base threat detection gate, local learning layer, pattern updates, and access to the community threat intelligence feed.
Automatic renewal. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time. No refunds will be issued for partial billing periods.
The Software and all copies thereof are proprietary to Rhetoric Technologies, LLC and title thereto remains in Us. All applicable rights to patents, copyrights, trademarks, and trade secrets in the Software are and shall remain in Us. You acquire no rights in the Software except the limited license granted herein.
The community threat intelligence feed aggregates anonymized threat metadata (threat type, confidence score, resolution) submitted by participating users. The feed reflects what participants report.
Rhetoric Technologies, LLC does not independently validate reported threats. We rely on crowd-sourced quality control: if you see something that looks wrong, flag it. The feed gets better when everyone helps keep it honest.
We reserve the right to remove, modify, or exclude any data from the feed at our sole discretion. Raw content (the text that triggered a detection) is never shared through the feed.
The Software is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Software will detect all threats, that it will operate uninterrupted or error-free, or that it will be compatible with all systems, configurations, or deployment environments. No detection system catches everything. The Software is a security layer, not a security guarantee.
To the maximum extent permitted by applicable law, in no event shall Rhetoric Technologies, LLC, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of profits, data, goodwill, use, or other intangible losses, arising out of or in connection with your use of or inability to use the Software.
In no event shall our total aggregate liability to you for all claims arising out of or relating to this Agreement or the Software exceed the amount you paid to us during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in this Agreement excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) willful misconduct or gross negligence; or (d) any matter for which liability cannot be lawfully excluded or limited.
To the maximum extent permitted by applicable law, You agree to indemnify, defend, and hold harmless Rhetoric Technologies, LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
This Agreement is effective until terminated. We may terminate this Agreement immediately if you breach any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession or control.
Termination does not relieve you of the obligation to pay any fees accrued prior to termination.
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Any dispute arising out of or relating to this Agreement shall first be submitted to good-faith negotiation. If negotiation fails to resolve the dispute within thirty (30) days, either party may pursue resolution through binding arbitration administered under the rules of the American Arbitration Association, with proceedings conducted in California.
We reserve the right to modify this Agreement at any time. Material changes will be communicated through the Software update channel or by posting the revised Agreement at rhetorictech.ai. Your continued use of the Software after such modifications constitutes acceptance of the revised Agreement.
Sections 4 (Ownership), 6 (Disclaimer of Warranties), 7 (Limitation of Liability), 8 (Indemnification), and 10 (Governing Law) shall survive any termination or expiration of this Agreement.
This Agreement constitutes the entire agreement between You and Rhetoric Technologies, LLC with respect to the Software and supersedes all prior or contemporaneous understandings, communications, or agreements, whether written or oral, regarding its subject matter.
If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable.
